  4.             OFFICETALK LICENCE AGREEMMENT

  6. IMPORTANT- PLEASE READ THE FOLLOWING CAREFULLY - USE OF THIS SOFTWARE CONSTITUTES
  7. ACCEPTANCE BY YOU OF THE TERMS SET OUT BELOW

  11. 1.    Your right to use the Software (as hereinafter described ) is governed by the terms of
  12.     this Licence Agreement alone.  If you use any of the Software supplied herewith, such
  13.     action will constitute acceptance of these terms. If you do not accept these terms you
  14.     must return the Software complete with its packaging to the supplier from whom you
  15.     purchased the Software  entire within 7 days of the date of purchase  (or delivery to
  16.     you if later) at your own expense,  in which event you will be refunded the full amount
  17.     paid by you.

  19. 2.    Sareen Software hereby grants to you a non-exclusive single user licence ("the Single
  20.     User Licence") to  use  the computer program on the machine-readable magnetic disc
  21.     contained in the sealed package supplied with this user manual and to use this manual
  22.     (the program and manual being herein together referred to as the "Software"), together
  23.     with an additional non-exclusive 99 user licence to use the Software for a trial period
  24.     of 60 days from the date of installation on your computer ("the trial licence")
  25.     following which period the trial licence will automatically terminate unless, within
  26.     such 60 day period, you notify Sareen Software by mail, telephone or fax at the address
  27.     indicated herein of the number of additional users for whom you require the Software and
  28.     you pay to Sareen Software the additional licence fee proportional to such additional
  29.     number of users, on receipt of which you will receive a Key-code which will constitute
  30.     your licence (on the terms herein contained) to use the Software for the agreed number
  31.     of additional users ("the Multiple User Licence").  If the additional licence fee
  32.     appropriate to your requirements is not specified in either the Software or the
  33.     accompanying documentation, it will be notified to you on application.  For the purposes
  34.     hereof,  a "user" is a person whose activities the Software is licensed to serve, 
  35.     regardless of the number of computers on which you use the Software and regardless of 
  36.     whether that person operates the computer on which the Software is used him or herself.

  38. 3.  (1)    The Single User Licence shall come into effect upon the signature and return to Sareen 
  39.     Software by you of the accompanying Registration Document generated by the 
  40.     Software, or the first use by you of the Software whichever shall occur first, and the 
  41.     date on which the first such event occurs is hereinafter called "the Initial Effective 
  42.     Date".  The Multiple User Licence shall come into effect upon the communication to 
  43.     you by Sareen Software of the Key-code and the date on which such event occurs is 
  44.     hereinafter called the "Effective Date".
  45.     (2)    The Single User  Licence and the Multiple User Licence shall remain in effect from the 
  46.     Initial Effective Date and the Effective Date respectively until terminated by you by  
  47.     returning to Sareen Software or destroying the Software and all copies thereof and, in 
  48.     the latter case, notifying Sareen Software thereof in writing; or terminated by Sareen 
  49.     Software forthwith by notice in writing to you if you are in breach of any of the terms 
  50.     of this Licence.

  52. 4.  (1)    All right, title and interest in the copyright in the Software (including any adaptations
  53.     or copies) are the sole and exclusive property of Sareen Software.  Only the Single 
  54.     User Licence and/or the trial licence and/or the Multiple User Licence is purchased by 
  55.     you.
  56.     (2)    The Key-code  given to you is personal to you.  Your  Key-code constitute 
  57.     confidential information and you undertake  not to disclose such information to any 
  58.     person except to those of your employees who need to know it for the proper 
  59.     performance of their duties and who undertake to maintain the confidentiality thereof.  
  60.     (3)    You shall not copy or authorise or permit any other person to copy any part of the 
  61.     Software, apart from such ephemeral copying as constitutes an inherent part of the 
  62.     process of using the  Software and save for making one copy of the disc or discs on 
  63.     which the Software is supplied for the purpose of back-up only  and you must place a 
  64.     label on the outside of such back-up disc created by you showing the name and version 
  65.     number of the Software. 
  66.     (4)    You agree not translate, adapt, modify, disassemble, decompile, reverse engineer or 
  67.     create derivative works based on the Software,

  69. 5.  (1)    This Single User Licence and/or trial licence and/or Multiple User Licence is personal 
  70.     to you and may  not be transferred or assigned.  Your Key-code number and the 
  71.     Software may be used only by you, and you shall not part with possession of any part 
  72.     of the Software to a third party.
  73.     (2)    You agree not to use the Software for the purpose of providing a communications 
  74.     service or bureau service to third parties. 
  75.     (3)    Subject to clause 2 above, you agree to apply the Software for a single user only, and 
  76.     not to apply the Software for more than one user without first paying to Sareen 
  77.     Software its appropriate multiple user licence fee, particulars of which are available 
  78.     from Sareen Software on request.
  79.     (4)    You agree to notify Sareen Software promptly of any change of location at which the 
  80.     Software is installed.

  82. 6.  (1)    Sareen Software hereby warrants that the Software is capable of performing the 
  83.     functions described in the user manual and that the disc or discs upon which the 
  84.     Software is provided will, at the time of delivery to you, be free from defects in 
  85.     materials or workmanship which could prevent the loading of the Software into defect-
  86.     free compatible computers.  Such discs are  not warranted for non-compatible systems 
  87.     and the Software is not warranted to be bug free.  If the Software shall prove to be 
  88.     incapable of performing the aforesaid functions, or if such disc or discs shall be 
  89.     defective so as to prevent the loading of the Software as aforesaid, Sareen Software 
  90.     or, if you purchased the software from an authorised dealer, the dealer from whom you 
  91.     purchased the Software shall (at its option), provided that the fault is notified to 
  92.     Sareen Software or the authorised dealer, as the case may be, within 21 days of 
  93.     delivery to you, as your sole remedy either replace the defective item or refund to you 
  94.     the purchase price paid by you to Sareen Software or the authorised dealer from whom 
  95.     you purchased the Software as the case may be. 
  96.     (2)    The foregoing warranties are in lieu of all other warranties on the part of Sareen 
  97.     Software either express or implied, statutory or otherwise as to any matter whatsoever 
  98.     arising in connection with the Software, including, without limitation, the condition of 
  99.     the  Software or its fitness for any particular purpose, all of which are hereby
  100.     expressly excluded.  No oral or written information or advice given by Sareen Software,
  101.     its distributors, agents, dealers or employees shall create a warranty or representation
  102.     or in any way increase the scope of the above limited warranties.
  103.     (3)    Sareen Software shall not be liable for any consequential, incidental or indirect loss 
  104.     arising in connection with the Software.  In any event the total liability of Sareen 
  105.     Software to you howsoever arising in connection with this Single User Licence and/or 
  106.     trial licence and/or Multiple User Licence or the Software shall not exceed a sum equal 
  107.     to Sareen Software's recommended selling price at the time of your purchase of the 
  108.     Software giving rise to the liability in question . 
  109.     (4)    In certain jurisdictions your statutory rights cannot be lawfully modified or excluded.  
  110.     In those territories the above warranties and limitations shall have effect only so far
  111.     as permitted by the applicable laws..

  113. 7.    Sareen Software shall have the right at all reasonable times to inspect your computer or 
  114.     computers on which the Software is installed, in order to verify your compliance with the
  115.     terms of this Single User Licence and/or trial licence and/or MultipleUser Licence, and
  116.     you hereby grant Sareen Software a licence to enter any premises where such computer or 
  117.     computers may be located for this purpose.

  119. 8.  (1)    This Single User Licence and/or trial licence and/or Multiple User Licence constitutes 
  120.     the entire agreement between Sareen Software  and you regarding the use by you of 
  121.     the Software and may not be altered except in writing signed by both parties.  Failure 
  122.     by Sareen Software to enforce any of its rights hereunder shall not be or be deemed to 
  123.     be a waiver thereof.
  124.     (2)    This Single User Licence and/or trial licence and/or Multiple User Licence shall be 
  125.     governed and construed in accordance with English law and be subject to the 
  126.     jurisdiction of the Courts of England.
